| What is a Software Update Contract? |
|
NTP Software offers you the opportunity to license in advance, and automatically receive updates to, the base software of ours that you may have. This is provided to you in the form of a contract called a Software Update Contract.
- What do I get with an Update Contract?
For the term of your contract, Update Contract provides you with a license and an opportunity to receive all updates, major and minor, that apply to the base system for which it is written. A contract written today, for NTP Software QFS version 3.0, would entitle you to replace the licensed copies of your original software (version 3.0) with versions 3.1, 3.x, 4.0, etc. as they are released, at no additional charge.
- What is not covered?
An Update Contract does not entitle you to any newly developed add-on products for which there may be a separate license or fee, nor does it provide a 'platform upgrade'.
By platform upgrade we mean the equivalent of moving from Windows 2000 to Windows 2003.

| The Benefits of Update Contract |
|
A Software Update Contract is very valuable. In fact, it may be critical to the success of your project. Technology changes rapidly. Microsoft and other operating system developers regularly release new versions of their platform technology that is incompatible with prior versions. IE 6, for example, renders inoperable certain production Web applications that run just fine on IE 5.0 and 5.5.
While we work hard to avoid problems, and spend lots of time testing with beta versions of new operating systems, our software can be one of the applications that is negatively impacted by new versions of other technologies that you may need or want in your environment.
We absolutely commit to continually adapting our software to accommodate changes in the world around us, but we cannot afford to do this for free. Software Update Subscriptions are one of the mechanisms by which we are compensated for our efforts.
Additionally, later versions of our products will include new features that have been requested by the user community. They also incorporate other fixes that may have been developed during the same period.
Without a Software Update Subscription, there is no easy or inexpensive way for you to obtain a license for these updates. |

| Purchasing and Fulfillment |
|
Update Contract updates are available to registered customers with a currently in-force Software Update Contract. Update contracts are only available at the time you acquire your initial license of the base product, or by renewal.
NTP Software does not automatically ship updates to customers. Our experience is that doing this turns out to be problematic and wasteful. The recipients originally specified move on to new jobs; unexpected deliveries get lost, etc. To make less stress for everyone, we send a simple notice of an available update, not the code itself.
When an update becomes available, the contact(s) you list in your Update contract are notified by email, or by an alternative mechanism you may have specified. Once the contacts receive notice, they can request the update on distribution media, or it can be made available for download from the Web. Or, they can ignore it. If your systems are running well, and the new features are of no interest to you, there is no obligation on your part to accept or apply any updates. |

| Update Contract Vs. Technical Support |
|
- A Software Update Contract is solely that, software updates.
- Update Contract does not include, nor does it otherwise provide an entitlement to, any type of technical support.
- Update Contract is simply a software license to new versions of your base product, provided for in advance of their release.
NTP Software offers extensive, world-class, product support, consulting, and training services. All of these are available to you as well. Please speak with your account representative to secure the additional services you may need. NTP Software is ready to provide anything and everything you may need to be successful.

| Other Important Considerations |
|
- Contract term
Your Update Contract entitlement period is the term specified in your contract, normally one year. The contract term starts on the date you first license the base product. It expires for all copies of that product on the same date, regardless of whether you acquire additional licenses mid-term.
- All copies must be covered
The Software Update Contract requires that all copies of its base product be included as a part of the Update Contract.
